These Terms and Conditions ("Terms") govern your participation in the Not Alone Corporate Challenge ("NACC," "the programme") operated by the Inspiring Children Foundation ("ICF," "we," "us"), a registered 501(c)(3) nonprofit organisation incorporated in the State of Nevada. By registering for NACC, making a donation, or otherwise using notalonechallenge.org, you agree to these Terms.
If you do not agree to these Terms, please do not register for the programme or use this website.

The Not Alone Corporate Challenge is an annual awareness and fundraising campaign anchored to World Mental Health Day on October 10th. Participants receive a unique numbered digital badge in connection with a donation to ICF and are invited to share the badge on personal social media on October 10th.
The programme is offered in two forms:
ICF reserves the right to modify, suspend, or discontinue the programme at any time, with notice to active participants where reasonably practicable.
You are responsible for providing accurate and complete information during registration. This includes your name, contact details, and — for corporate registrants — your company name, approximate employee count, and contact information.
If any information you provide is materially inaccurate, ICF reserves the right to suspend or cancel your participation in the programme without refund. You agree to update your information promptly if it changes.
All contributions to the Not Alone Corporate Challenge are voluntary charitable gifts to the Inspiring Children Foundation, a registered 501(c)(3) nonprofit organisation. They are not payments for goods or services. No goods or services of material value are provided in exchange for your donation. The digital badge and any included mental health awareness resources have a fair market value of $0 for the purposes of IRS quid pro quo requirements.
Donations to ICF are generally tax-deductible in the United States to the extent allowed by law. ICF will provide a written acknowledgment of your donation for tax purposes upon request. ICF does not provide tax advice; please consult a qualified tax professional regarding your individual circumstances.
Donations to the Inspiring Children Foundation are non-refundable. Once made, donations are received and used in furtherance of ICF's charitable mission and cannot be returned. Withdrawing your participation from the programme does not entitle you to a refund.

As a registered 501(c)(3) nonprofit, ICF is required by U.S. federal tax law to maintain donor records and file an annual information return (IRS Form 990) with the Internal Revenue Service. For donations above thresholds defined by the IRS (currently $5,000 or 2% of total contributions, whichever is greater), ICF must report donor names, addresses, and donation amounts to the IRS on Schedule B of Form 990.
Schedule B donor information is provided to the IRS for compliance purposes. As a public charity, ICF's publicly-available 990 (such as that available through GuideStar or ProPublica) does not disclose individual donor names or addresses; the IRS redacts this information from public copies for public charities.
By making a donation to ICF, you acknowledge that ICF will use your information as required to comply with these legal reporting and record-keeping obligations, regardless of your preferences for public directory listing or anonymity on the Not Alone Corporate Challenge website. Public-directory anonymity governs only the public-facing display on notalonechallenge.org; it does not affect ICF's legally required tax filings or internal donor records.
During registration, you may opt in to having your name (individual) or your company's name (corporate) listed on the Not Alone public directory. This listing is opt-in only — if you do not actively consent, your name will remain anonymous on notalonechallenge.org.
You may request removal from the public directory at any time by emailing privacy@inspiringchildren.org. ICF will action removal requests within 10 working days.
ICF reserves the right to remove any listing from the public directory at its sole discretion, including for violations of these Terms or for any other reason ICF deems appropriate. Removal from the directory does not entitle you to a refund of any donation made.
Upon registration, ICF grants you a limited, non-exclusive, non-transferable, royalty-free licence to use your assigned numbered badge solely for the purposes of the Not Alone Corporate Challenge. This includes:

All Not Alone Corporate Challenge branding, designs, badge artwork, copy, photography, and other content on notalonechallenge.org are the intellectual property of ICF and its licensors. Nothing in these Terms grants you any rights to ICF's intellectual property beyond the limited badge licence described above.
By participating in NACC, you agree not to:
ICF reserves the right to terminate your participation for violations of this section without refund.
The Not Alone Corporate Challenge is an awareness and fundraising campaign. It is not a substitute for professional mental health care.
Any mental health awareness resources provided through the programme are educational materials only. They are not medical advice, diagnosis, or treatment, and they are not a substitute for the services of qualified mental health professionals.

ICF makes no representation that participation in NACC will improve mental health outcomes for participants or their colleagues. Companies registering for NACC are responsible for providing appropriate mental health support to their employees independently of this programme.
ICF may suspend or terminate your participation in the programme at any time, with or without notice, if you:
Upon termination, your right to use the badge ends immediately. Your badge number will not be reassigned to another participant. Termination does not entitle you to a refund of any donation made.
The Not Alone Corporate Challenge and notalonechallenge.org are provided "as is" and "as available", without warranties of any kind, either express or implied. To the maximum extent permitted by law, ICF disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
ICF does not warrant that the website will be uninterrupted, error-free, or free of viruses or other harmful components.
To the maximum extent permitted by law, ICF, its directors, officers, employees, contractors, and volunteers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your participation in the programme, your use of the website, or these Terms.
ICF's total cumulative liability to you for all claims arising from or relating to the programme, the website, or these Terms shall not exceed the lower of: (a) the total amount of donations you have made to ICF in connection with the programme; or (b) US $5,000.
Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.
You agree to indemnify, defend, and hold harmless ICF and its directors, officers, employees, contractors, and volunteers from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:
ICF may update these Terms from time to time. When we make significant changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify registered participants by email.
Your continued participation in the programme after changes to these Terms constitutes your acceptance of the updated Terms.
These Terms are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-laws principles.
Any dispute arising out of or relating to these Terms or the programme shall first be raised in good faith with ICF at hello@notalonechallenge.org so that the parties may attempt to resolve the matter informally.
If a dispute cannot be resolved informally, the parties agree that any legal action or proceeding shall be brought exclusively in the state or federal courts located in Nevada, and you consent to the personal jurisdiction of those courts.

These Terms, together with our Privacy Notice, constitute the entire agreement between you and the Inspiring Children Foundation regarding your participation in the Not Alone Corporate Challenge. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
